These terms apply when you use the retailerbox.com website, use our free tools or guides, or buy services from RetailerBox. Please read them. By using our website or our services, you agree to them.
1. Who we are
RetailerBox (“RetailerBox”, “we”, “us”) is an independent Amazon and Walmart seller services agency. Our team is based in India and works with sellers in the USA and Canada. “You” means the person or business using our website or services. If you accept these terms for a business, you confirm you have authority to bind that business.
RetailerBox is not affiliated with, endorsed by or sponsored by Amazon.com, Inc. or Walmart Inc. Amazon, Seller Central, FBA, Walmart, Walmart Marketplace, Seller Center and WFS are trademarks of their owners. We use these names only to describe the marketplaces we work on.
2. Our website is for information
- Our website describes our services and shares general information for Amazon and Walmart sellers.
- Nothing on our website is legal, tax, customs, accounting or financial advice. Talk to a qualified professional about your situation.
- Amazon and Walmart change their rules, fees and programs often. Guides and tool pages show the date the information was checked. Always confirm current rules in Seller Central, Seller Center or the marketplace’s official help pages before you act.
- Messages in chat or email, and anything on our website, are not an offer or a binding quote. Fees and scope are set only in a written proposal.
3. Free tools and guides
Our free tools (the profit calculator, tariff calculator, low-inventory fee checker and title checker) and our guides are free and provided “as is”.
- Results are estimates based on the numbers you enter and on fees, rates and rules as of the date shown on the page.
- They may be out of date, incomplete or wrong for your products, category or marketplace.
- Do not base buying, pricing, import or tax decisions only on them.
- We may change or remove any tool or guide at any time.
You may use our tools and read our guides for your own business. You may not copy, republish or sell our content, or scrape our website, without our written permission.
4. Our services
We offer services for Amazon and Walmart sellers, including launch and setup, automation and wholesale operations, listings and Walmart ads, inventory and fulfillment, and account health and recovery.
- Proposal controls. Each engagement is set out in a written proposal or statement of work. It covers the scope, fees, timeline and any special terms. If a signed proposal or statement of work conflicts with these terms, the proposal or statement of work controls.
- Free audit. Our free audit is a PDF report and a live call, delivered within 48 to 72 hours after you give us user access to your seller account. The audit is our view of your account at that time. It is not a promise of results. You have no obligation to buy anything after it.
- Changes to scope. Work outside the agreed scope needs written approval (email is fine) and may cost extra.
- Who does the work. Our team does the work. We may use trusted partners, such as a prep center, for parts of a service. We stay responsible for the work we agree to do.
- Timelines. Timelines we give are estimates. Many steps depend on Amazon, Walmart, suppliers, carriers and you.
5. Your responsibilities
- Accurate information. Give us information, documents and invoices that are true, complete and yours to share. Tell us quickly if anything changes.
- Your accounts. You own and control your Amazon and Walmart seller accounts. Give us access only through user permissions. Never send us your password. You can remove our access at any time.
- Marketplace policies. You must follow Amazon’s and Walmart’s policies and the laws that apply to your products and business, including product safety, intellectual property, tax, import and customs rules. We will not do anything that breaks marketplace policy, such as creating fake reviews or making or altering invoices or documents.
- Your products. You are responsible for the products you sell, including their safety, labeling, authenticity and your right to sell them.
- Approvals. Review and approve work when we ask, and reply to questions in reasonable time. Delays on your side can delay results.
- Purchase orders. For automation and wholesale services, you approve every purchase order before it is placed.
6. Automation and wholesale services
If you use our automation and wholesale services:
- You own the seller account, the inventory and your relationships with suppliers.
- You approve every purchase order and pay suppliers directly.
- RetailerBox never holds your money, inventory budget or sales proceeds.
- Buying inventory is a business risk. Products can sell slowly, need price cuts, be returned, be damaged, become restricted, or not sell at all. You can lose some or all of the money you spend on inventory and fees.
- We do not promise any income, profit, return on investment or payback period, and we do not buy back inventory.
7. No guarantees
Amazon and Walmart make their own decisions. They decide seller account approvals, category and brand approvals, appeals, reinstatements, search rankings, the Buy Box, ad performance and reimbursements.
We do our work with care and skill, but we do not guarantee:
- approval of any account, application, category or brand;
- reinstatement of a suspended account or listing;
- any ranking, Buy Box share or ad result;
- any sales, profit, income or reimbursement amount.
Any past results we describe do not mean you will get the same results.
8. Third-party platforms and providers
Our work depends on services we do not control, including Amazon, Walmart, Meta (Facebook Messenger), payment providers such as PayPal and Payoneer, banks, carriers, prep centers and suppliers.
- Your use of those services is governed by their own terms and privacy policies.
- They can change their rules, fees or features, suspend accounts or go offline at any time.
- We are not responsible for their actions, decisions, fees or outages.
- Marketplace fees, advertising spend, supplier costs, shipping, prep and payment provider fees are yours to pay unless your proposal says otherwise.
9. Fees and payment
- Fees. Reimbursement recovery is charged at 10% of what the marketplace actually pays on claims we file. We quote fees for other services after a call. Depending on the service, fees may be a monthly retainer, a one-time project fee, a share of profit, a share of reimbursements recovered, or a mix. Your proposal sets out the fees and, for a share of profit, how profit is worked out.
- Reimbursement recovery fees. Unless your proposal says otherwise:
- The fee is 10% of the money Amazon or Walmart actually pays you (as a cash reimbursement, credit or fee refund) because of a claim, case or dispute our team filed or reopened. If your proposal sets a different rate, that rate applies.
- Free until January 1, 2027. We charge no fee on anything recovered from a claim, case or dispute our team first files before January 1, 2027, even if Amazon or Walmart pays it on or after that date, or we reopen it later. The 10% fee applies to claims we first file on or after January 1, 2027. This offer is for sellers who sign up with us directly. It does not apply to clients introduced by a referral partner or served through an agency, who pay the fee from their first claim; we confirm the fee in writing before work starts.
- If nothing is recovered, you owe nothing. There are no setup, platform or minimum fees.
- We charge no fee on reimbursements the marketplace pays without a claim from us, or on claims you filed yourself.
- When the marketplace replaces a lost unit instead of paying, the fee is based on the reimbursement value the marketplace shows for that unit.
- If the marketplace later reverses or takes back a reimbursement we charged a fee on, we credit that fee on your next invoice, or refund it if no further invoice is due.
- Each invoice lists every reimbursement it covers, with the marketplace reference, so you can check it against your own reports. Amounts paid in Canadian dollars are converted to US dollars at the rate shown on the invoice.
- If the service ends, the fee still applies to reimbursements paid within 60 days after the end date for claims we filed before it.
- Currency and payment. We bill in US dollars. You can pay by PayPal, Payoneer or bank transfer. Payment providers may charge their own fees, which you pay.
- When we invoice. Unless your proposal says otherwise: monthly retainers are invoiced at the start of each billing month; one-time projects are invoiced 50% before work starts and 50% on delivery; share-of-profit and reimbursement recovery fees are invoiced monthly after the month ends.
- When to pay. Invoices are due within 7 days of the invoice date.
- Late payment. If an invoice is more than 7 days overdue, we may pause work until it is paid. Overdue amounts carry a late fee of 1.5% per month (or the highest rate the law allows, if that is lower), counted from the due date until payment. We will remind you before charging a late fee.
- Disputed invoices. If you think an invoice is wrong, tell us in writing within 7 days of receiving it. Pay the parts you do not dispute on time while we sort out the rest.
- Taxes. Fees do not include taxes. You pay any taxes that apply to our services, other than taxes on our own income.
10. Cancellation and refunds
- Cancellation. Unless your proposal says otherwise, either of us can end an ongoing service by giving 15 days’ written notice by email. You pay for work done and fees due up to the end of the notice period.
- Retainers. A billing month that has started is not refundable. If your notice period ends partway through a prepaid month, we credit or refund the unused days after the notice period.
- Projects. If you prepaid a project and we have not started it, we refund the prepayment in full. If you cancel a project after we have started, we refund any prepaid amount that is more than the value of the work already done.
- Share-of-profit and reimbursement recovery fees are not refundable once invoiced, unless the invoice was calculated wrongly or, for recovery fees, the reimbursement is later reversed (see section 9).
- Our mistakes. If we fail to deliver work we agreed to do and do not fix it within 14 days of your written notice, you can ask for a refund of the fees for that undelivered work.
- Not refundable. Payment provider fees, and amounts paid to third parties for you (such as marketplace fees, advertising spend, suppliers, carriers or prep centers).
- How refunds are paid. We send refunds by the method you used to pay, within 14 days of agreeing the refund.
- The free audit is free, so there is nothing to refund.
11. Confidentiality
We keep your non-public business information confidential. This includes your seller account data, sales, costs, suppliers, customers and plans. We use it only to deliver your service. We share it only with team members and partners who need it for your work and who are bound to keep it confidential.
You keep our non-public information confidential too, including our proposals, pricing, reports, methods and supplier or distributor contacts we introduce.
This does not cover information that is already public (through no fault of the receiving side), that the receiving side already had or got lawfully from someone else, or that the law or a court requires to be disclosed.
These duties continue for 2 years after our work together ends.
Our Privacy Policy explains how we handle personal information.
12. Intellectual property
- Your materials. You keep ownership of everything you give us, such as your brand, logos, product photos and existing content. You give us permission to use them only to deliver your service. You confirm you have the right to let us use them.
- Work we create for you. Once you have paid for it in full, you own the listing content we create for you, such as titles, bullets, descriptions, images, A+ content and brand store designs. Stock images, fonts or other third-party material in that work stay subject to their own licenses.
- Our methods. We keep ownership of our know-how, processes, checklists, templates, report formats and tools, and anything we create that is not made only for you. You may use our reports for your own business.
- Portfolio. We will not name you or publish your results, store, listings or reviews without your written permission.
13. Limitation of liability
To the extent the law allows:
- Neither of us is liable to the other for indirect or consequential losses, such as lost profits, lost sales, lost data, or loss of business or goodwill.
- We are not liable for losses caused by decisions of Amazon, Walmart or other third parties, by account suspensions or listing removals that result from your products, information or instructions, or by inventory that does not sell or sells at a loss.
- Our total liability for all claims relating to our services is limited to the fees you paid us for the affected service in the 3 months before the claim.
- Free tools, guides and the free audit are provided without charge and “as is”. Our total liability for them is limited to US$100.
Nothing in these terms limits liability for fraud, for willful misconduct, or for anything else that cannot be limited under the law that applies. Nothing in these terms takes away rights you have under consumer protection laws that cannot be changed by contract.
14. Indemnity
You will cover our reasonable losses and costs (including reasonable legal fees) from third-party claims caused by:
- your products, including claims about safety, authenticity or intellectual property;
- false or misleading information or documents you gave us;
- your breach of marketplace policies or the law, or of these terms.
This does not apply to the extent a claim is caused by our own breach of these terms, negligence or willful misconduct. We will tell you promptly about any such claim and work with you on it.
15. Ending our work together
- Either of us can end an ongoing service with notice, as set out in section 10.
- Either of us can end it right away by written notice if the other seriously breaks these terms or the proposal and does not fix it within 7 days of being told.
- We can stop work right away if you ask us to break marketplace policy or the law, or if continuing would put us at legal risk.
- When work ends, remove our user access to your seller account. If you ask within 30 days, we hand over finished work you have paid for and the files we hold for you. We delete client records and files 6 months after the contract ends, as our Privacy Policy explains.
- Sections on fees owed, refunds, confidentiality, intellectual property, limitation of liability, indemnity and governing law continue after the work ends.
We may also block access to our website for anyone who misuses it.
16. Events outside our control
Neither of us is responsible for delays or failures caused by events outside reasonable control, such as marketplace outages or policy changes, internet or power failures, natural disasters, war, government action or strikes. Payment duties for work already done still apply.
17. Governing law and disputes
If there is a problem, contact us first at support@retailerbox.com. We will try in good faith to resolve it within 30 days.
If we cannot resolve it, these terms are governed by the laws of India, and the courts of India have jurisdiction over disputes. This does not take away any right you have under the law where you are based to bring a claim in your local courts.
18. Changes to these terms
We may update these terms from time to time. The date at the top shows the last change. Changes do not affect a signed proposal or statement of work already in place unless both of us agree in writing. If you keep using our website or services after a change, the updated terms apply.
19. General
- These terms, together with any signed proposal or statement of work and our Privacy Policy, are the whole agreement between us about their subject.
- If any part of these terms cannot be enforced, the rest still applies.
- If we do not enforce a right right away, we do not give it up.
- You may not transfer your agreement with us without our written consent. We may transfer it as part of a merger, sale or reorganization of our business.
- Notices can be sent by email to the addresses below or to the email address you use with us.
